TELES AG Informationstechnologien: Control of voting rights /mandatory offer

Berlin (11.02.2020/14:15) - TELES AG Informationstechnologien (ISIN DE0007454902 / WKN 745490) (hereinafter "Company") has been informed that SIMBLION GmbH, Berlin, (hereinafter "Bidder") has notified according to § 35 Para. 1 WpÜG that on February 5th 2020 has attained control over the company within the meaning of Section 29 WpÜG.

The Bidder has also informed the company that after the Federal Financial Supervisory Authority ("BaFin") has authorized the publication of the offer document in accordance with Section 35 (2) of the WpÜG, it will make a mandatory offer to all shareholders of the company in exchange for a cash payment in the amount of the statutory minimum price of TELES AG Informationstechnologien.

The offer document for the takeover offer will be published on the Internet at www.simblion-angebot.de after approval by the Federal Financial Supervisory Authority.
